AEY ELECTRIC, Inc. TERMS AND CONDITIONS EFFECTIVE JAN. 1ST 2004

TERMS- All Aey Electric Inc. Online sales are prepay only. We accept MasterCard and Visa Through Paypal. You can also use your Paypal account to pay. We will accept personal and Company checks, but all funds must clear before shipment which normally takes 7-10 business days. Under very limited circumstances and only for established customers we will consider billing Net 30 days.

FREIGHT- All orders over $750.00 net are prepaid. Orders under $750.00 are plus freight. We will arrange for delivery for customers within 60 miles of Cleveland, Ohio at no charge with prior approval.

TRANSPORTATION CLAIMS- All orders are inspected prior to shipping and larger orders are photographed and kept on file before shipment. If you have a freight claim Aey Electric, Inc. must be notified within 48 hours of shipment. All claims need to be filed by the purchaser to the freight company. Aey Electric Inc. will help resolve all freight claims, but the ultimate responsibility is with the purchaser to resolve the claim directly with the freight carrier.

SALES TAX- Sales Tax will be charged on all shipments made anywhere in the State of Ohio.

RETURN OF STOCK MERCHANDISE- No merchandise may be returned without prior written notice. The purchaser is responsible for freight both ways plus a 15% restocking charge provided the merchandise is in the original packaging.

RETURN OF NON-STOCK ITEMS- non-stock merchandise is not returnable under any circumstances.

WARRANTY- Aey Electric, Inc. sells deep discount and closeout electrical material. There is NO WARRANTY EXPRESSED OR IMPLIED unless there is a warranty directly from the manufacture of the product. If this is of concern, Customer must inquire about warranty in writing before sale. All manufacture warranties are between the purchaser and the manufacture of the product.

LIMITATION OF LIABILITY- Aey Electric, Inc. Offers no direct warranty for any product. In no event shall Aey Electric, Inc. be liable for any indirect, special, incidental, consequential, or punitive damages even if informed of the possibility of such damages, whether as the result of breach of contract, warranty (AEY ELECTRIC, INC OFFERS NO WARRANTY EXPRESSED OR IMPLIED, Tort (including negligence, strict Liability, or any other theory.

ACCEPTANCE- Acceptance of orders can only be made by owners or employees of Aey Electric, Inc. Order is not considered accepted until it is received, paid for and shipped at which time ownership is transferred from Aey Electric, Inc. to purchaser.

ENTIRE AGREEMENT- Except as expressly agreed in writing signed by Aey Electric, Inc. The terms and conditions stated above shall constitute the entire sales agreement between Aey Electric, Inc. and the purchaser. Any contrary or additional terms or conditions submitted by the purchaser (other than description of products being ordered and the requested quantities, shipping date, and shipping location contained in purchasers purchase order.) shall be deemed to be of no force or effect and are herby rejected. Purchasers submission of an order shall indicate purchasers acknowledgement of and agreement with these terms and conditions.

AEY ELECTRIC, INC. RESERVES THE RIGHT TO CHANGE THESE TERMS AND CONDITIONS OF SALE WITHOUT NOTICE.
